SwaftyFlow Terms of Service and User Agreement

1. About SwaftyFlow and these Terms
SwaftyFlow ("SwaftyFlow", "we", "our" or "us") is a product of Epigos Ltd (also known as Epigos AI), a company registered in England and Wales with its registered office at 20–22 Wenlock Road, London, England, N1 7GU.
These Terms of Service ("Terms") govern your access to and use of:
- the SwaftyFlow website,
- the SwaftyFlow platform for building and managing AI support agents, and
- any related services, documentation or support we provide (together, the "Services").
By creating an account, accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you are authorised to accept these Terms on its behalf. If you do not agree to these Terms, you must not use the Services.
2. Description of the Services
SwaftyFlow provides an AI-powered automation platform that enables businesses to:
- design and configure AI-based customer support agents,
- connect those agents to WhatsApp Business numbers and other channels (where supported), and
- manage, analyse and improve customer support interactions.
Use of the Services may require integration with third-party platforms (such as WhatsApp Business API provided by Meta). Your use of such third-party platforms is subject to their own terms and policies, which you are responsible for reviewing and complying with.
3. Eligibility and account registration
3.1 Eligibility
You may use the Services only if you:
- are at least 18 years old, and
- have the legal capacity and authority to enter into these Terms.
3.2 Account registration
To use certain features of the Services, you must create an account and provide accurate, current and complete information. You agree to keep your account information up to date.
3.3 Account security
You are responsible for:
- maintaining the confidentiality of your login credentials, and
- all activities that occur under your account.
You must notify us promptly if you become aware of any unauthorised access to or use of your account.
4. Your responsibilities and acceptable use
4.1 Compliance with laws and platform policies
You must use the Services in compliance with:
- these Terms,
- our Privacy Policy, and
- all applicable laws and regulations (including data protection, marketing and consumer protection laws).
If you integrate SwaftyFlow with WhatsApp Business or other channels, you must also comply with:
- WhatsApp Business Terms of Service and Commerce and Business Policies, and
- any other applicable policies issued by Meta or the relevant channel provider.
4.2 Prohibited uses
You must not use the Services to:
- send spam, unsolicited or bulk messages, or engage in harassment or abusive conduct;
- promote or facilitate illegal, fraudulent or deceptive activities;
- collect or process special categories of personal data (such as health or religious data) unless you have a lawful basis and appropriate safeguards;
- attempt to gain unauthorised access to the Services or related systems;
- interfere with or disrupt the integrity or performance of the Services;
- reverse engineer, decompile or attempt to derive source code from the Services (except to the extent permitted by law); or
- misrepresent your relationship with SwaftyFlow, Epigos Ltd, Meta, WhatsApp or any other third party.
We reserve the right to investigate any use of the Services that we believe may violate these Terms, and to suspend or terminate access where appropriate.
5. Customer data and privacy
5.1 Customer Data
For the purposes of these Terms, "Customer Data" means any data, content, messages, files or other information that you or your end users submit to or through the Services, including via WhatsApp or other integrated channels.
You retain ownership of your Customer Data. You grant SwaftyFlow (Epigos Ltd) a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit and use Customer Data solely as necessary to:
- provide, maintain and improve the Services,
- comply with legal obligations, and
- prevent or address security, fraud and technical issues.
5.2 End-User Data and data protection roles
When your end users interact with your AI agents via WhatsApp or other channels, you are typically the data controller of their personal data. SwaftyFlow (Epigos Ltd) acts as your data processor, processing End-User Data on your instructions and in accordance with our Privacy Policy and data processing commitments.
You are responsible for:
- ensuring you have a lawful basis for processing End-User Data,
- providing appropriate privacy notices to your end users, and
- complying with applicable data protection laws (including UK GDPR / EU GDPR where relevant).
5.3 Privacy Policy
Our collection and use of personal data relating to you (for example, as a customer or website visitor) is described in our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
6. Security
We implement technical and organisational measures designed to protect the security, confidentiality and integrity of the Services and Customer Data. However, no system is completely secure, and we cannot guarantee that unauthorised third parties will never be able to defeat our security measures.
You are responsible for configuring the Services appropriately, using strong credentials, and protecting any access tokens, API keys or other sensitive information associated with your account.
7. Fees, billing and subscriptions
7.1 Fees
Fees for the Services, if applicable, will be communicated to you via our website, order form, or separate agreement. We may update pricing from time to time; any changes will apply from the start of your next billing period unless stated otherwise.
7.2 Billing and payment
Unless otherwise agreed:
- fees are invoiced in advance on a recurring basis (e.g. monthly or annually);
- payment is due on the date specified in the invoice; and
- you authorise us and our payment providers to charge your chosen payment method for all applicable fees and taxes.
If payment is not received when due, we may suspend or limit your access to the Services until payment is made.
7.3 Taxes
All fees are exclusive of any applicable taxes, levies or duties, which are your responsibility and will be added where required by law.
8. Intellectual property
8.1 Our IP
SwaftyFlow, and all related software, technology, documentation, designs, trademarks and other materials provided by us are owned by or licensed to Epigos Ltd and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we retain all rights, title and interest in and to the Services.
8.2 Your IP
You retain all rights to Customer Data and to any logos, trademarks or other content you provide to us. You grant us the limited licence described in section 5.1 to use such content in connection with providing the Services.
8.3 Licence to use the Services
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your internal business purposes.
9. Service availability and modifications
We aim to provide reliable and performant Services, but:
- we do not guarantee that the Services will be uninterrupted or error-free; and
- we may modify, update or discontinue features from time to time (for example, to improve functionality or comply with changes to third-party platform policies).
Where we make material changes that negatively impact your use of the Services, we will endeavour to provide reasonable notice, where practicable.
10. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available", and we disclaim all warranties and conditions, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that:
- the Services will meet your requirements,
- the Services will be uninterrupted, secure or error-free, or
- any data or content (including AI-generated responses) will be accurate, complete or suitable for any particular purpose.
You are responsible for reviewing and, where appropriate, supervising the use of AI-generated outputs before relying on them.
11. Limitation of liability
To the fullest extent permitted by law:
- SwaftyFlow (Epigos Ltd) will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with the Services or these Terms, even if we have been advised of the possibility of such damages; and
- our total aggregate liability arising out of or in connection with the Services or these Terms will be limited to the greater of:
- the amounts you have paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim, or
- one hundred (100) GBP, if you have not paid any such amounts.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (such as liability for fraud or fraudulent misrepresentation).
12. Indemnity
You agree to indemnify, defend and hold harmless Epigos Ltd, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Services,
- your violation of these Terms, or
- your violation of any applicable law or third-party rights (including WhatsApp or Meta policies).
13. Term, suspension and termination
13.1 Term
These Terms apply from the date you first accept them and continue until terminated by you or us in accordance with this section.
13.2 Suspension
We may suspend or restrict your access to the Services (in whole or in part) if:
- you fail to pay any fees when due,
- we reasonably believe you have violated these Terms or applicable law, or
- your use of the Services poses a security risk, legal risk or other significant risk to us or others.
We will, where reasonable, notify you of the reasons for suspension and work with you to resolve the issue.
13.3 Termination by you
You may terminate your account and stop using the Services at any time via your account settings or by contacting us.
13.4 Termination by us
We may terminate your access to the Services:
- for any material or repeated breach of these Terms, or
- for business or operational reasons, by providing at least 30 days' notice (unless immediate termination is required by law or to prevent harm).
13.5 Consequences of termination
Upon termination:
- your right to use the Services will cease; and
- we may delete or anonymise Customer Data after a reasonable retention period, subject to our legal and contractual obligations.
Sections that by their nature should survive termination (including, without limitation, ownership rights, confidentiality, limitations of liability and indemnity) will continue to apply.
14. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes in our Services, our business or applicable law. When we make material changes, we will take appropriate steps to notify you (such as by email or a notice in the product) and will update the "Last updated" date at the top of these Terms.
If you continue to use the Services after the updated Terms become effective, you will be deemed to have accepted the updated Terms.
15. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction to settle any such dispute or claim, subject to any mandatory rights you may have under applicable law.
16. Miscellaneous
16.1 Entire agreement
These Terms, together with any order forms or separate written agreements, constitute the entire agreement between you and Epigos Ltd regarding the Services and supersede all prior agreements or understandings relating to the same subject matter.
16.2 Assignment
You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms (in whole or in part) in connection with a merger, acquisition, corporate reorganisation or sale of assets, or by operation of law.
16.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
16.4 No waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
16.5 Notices
We may provide notices to you by email, in-product notifications, or by posting on our website. You are responsible for keeping your contact details up to date.
